Terms and Conditions for The Start-Up Shop Affiliate Program
Effective Date: April 1, 2022
These terms and conditions (the “Terms”) outline the agreement between The Start-Up Shop, registered under 531282, with its principal address atS31 The Pottery, Bakers Point,, Pottery Road, Dun Laoghaire, DUBLIN, Ireland, and the approved affiliate partner (the “Affiliate”) as governed by this contract.
The Start-Up Shop operates its affiliate program using a third-party tracking service provider known as Systeme.io. In addition to these Terms, the general terms and conditions and privacy notice of Systeme.io apply to the affiliate program. By signing up for the program, you agree to be bound by these Terms and confirm that you have read and understood the terms and conditions and privacy notice of Systeme.io, agreeing to be bound by them.
1. Sign-Up for the Program
1.1. The Start-Up Shop’s affiliate program is designed for entities interested in promoting The Start-Up Shop’s services, as specified in this Contract.
1.2. Participation in the program is limited to legal entities, and private individuals are not eligible to join.
1.3. To participate, the Affiliate must sign up on the Systeme.io by providing the authorized representative’s first and last name, and email address, and selecting a password. The Affiliate is responsible for safeguarding their password.
1.4. After signing up, the Affiliate must create an account on Systeme.io by providing the required information, including name, registration code, address, VAT number, and PayPal account details. The Start-Up Shop may request additional information during the account setup process. It is the Affiliate’s responsibility to ensure that all provided information remains accurate throughout the duration of this Contract.
1.5. The person signing up for the program on behalf of the Affiliate must have the legal authority to bind the Affiliate to this Contract.
1.6. The Start-Up Shop reserves the right to reject any application. The Affiliate’s status as an affiliate partner is confirmed only after The Start-Up Shop approves the application and sends a confirmation email.
1.7. A tutorial on using the Systeme.io is available after creating the account.
2. Scope of the Program
2.1. The purpose of the program is to promote The Start-Up Shop’s services, including those offered in the List of All Services on our website.
2.2. Promotion is achieved by directing potential clients (“Clients”) interested in The Start-Up Shop’s services to The Start-Up Shop’s website using unique affiliate links (“Affiliate Links”). Each Affiliate will have its own unique Affiliate Links and may promote all of The Start-Up Shop’s services using these links.
2.3. The available services for Clients are described within the Affiliate’s account. The Affiliate may distribute all materials and assets to Clients in compliance with this Contract.
2.4. The Start-Up Shop may, at its discretion, modify, add, or remove assets and materials.
2.5. The Start-Up Shop reserves the right to restrict or prohibit the distribution of assets and the use of Affiliate Links for content deemed inappropriate at its sole discretion.
2.6. Program administration and monitoring occur through Systeme.io. The Start-Up Shop has access to the Affiliate’s account for monitoring the affiliate relationship.
2.7. The Start-Up Shop reserves the right to modify the program’s scope with 14 days’ notice to the Affiliate.
2.8. The Affiliate agrees not to infringe upon The Start-Up Shop’s intellectual property rights or those of third parties during participation in the program. The Start-Up Shop owns all intellectual property rights related to its trademarks, services, website, and The Start-Up Shop Company Formation Portal.
2.9. The Affiliate is granted the right to use The Start-Up Shop’s trademark solely for the purpose of promoting The Start-Up Shop’s services during the term of this Contract.
3. Affiliate's Obligations
3.1. The Affiliate must create and maintain the account on Systeme.io in compliance with the terms and conditions governing its use.
3.2. The Affiliate shall comply with all reasonable and lawful instructions provided by The Start-Up Shop for the purposes of this Contract.
3.3. The Affiliate shall use the Affiliate Links solely for the purpose of promoting The Start-Up Shop’s services as specified in this Contract.
3.4. The Affiliate may not transmit any data or materials containing harmful computer code or viruses.
3.5. The Affiliate may not generate artificial traffic to The Start-Up Shop’s websites that result in higher recorded traffic than the number of unique Clients directed to The Start-Up Shop’s websites by the Affiliate Links.
3.6. The Affiliate may not use a tracking link obtained through any other referral program in conjunction with the Affiliate Links.
3.7. The Affiliate may not publish the Affiliate Links in inappropriate content for business service promotion or use them for sending unsolicited emails (spam).
3.8. The Affiliate may not disseminate false or misleading information about The Start-Up Shop’s services or fees. All services and fees must be promoted as they appear on The Start-Up Shop’s websites.
3.9. The Affiliate must disclose its affiliation with The Start-Up Shop to Clients.
3.10. The Affiliate may not create the impression that it is authorized to bind The Start-Up Shop in any way and must not engage in any activities that could reasonably suggest that the Affiliate is an authorized representative of The Start-Up Shop.
3.11. The Affiliate may not enter into any contracts, commitments, or liabilities on behalf of The Start-Up Shop, including those related to the provision of services or fees. The Affiliate shall not negotiate terms for the provision of services with Clients.
3.12. The Affiliate may not produce marketing material for The Start-Up Shop’s services or use The Start-Up Shop’s name, logo, or trademarks in marketing material without prior written consent from The Start-Up Shop.
3.13. The Affiliate may not transfer, assign, subcontract, or deal with any of its rights and obligations under this Contract without prior written consent from The Start-Up Shop.
3.14. The Affiliate is responsible for complying with personal data protection regulations, including the GDPR, and must not violate individuals’ rights under these regulations while performing this Contract.
3.15. The Affiliate must adhere to The Start-Up Shop’s current terms of service and refrain from promoting services not supported by The Start-Up Shop.
3.16. The Affiliate shall not harm The Start-Up Shop’s reputation and goodwill.
4. Obligations of The Start-Up Shop
4.1. The Start-Up Shop will provide Affiliate Links to the Affiliate for tracking Client redirection from the links to The Start-Up Shop’s websites.
4.2. The Start-Up Shop will periodically inform the Affiliate about changes to the program, new services, and service fees offered to Clients.
4.3. This Contract does not grant exclusivity to the Affiliate. The Start-Up Shop may engage other affiliates and establish individual contracts at its discretion.
4.4. The Start-Up Shop will pay the Affiliate Fee as outlined in this Contract.
5. Affiliate Fee and Payment Terms
5.1. The Affiliate Fee (“Fee”) is calculated as follows:
– €25 per Client who purchases the combination of company formation service.
– 10% of The Start-Up Shop’s net income (service fee without VAT) for other services, excluding company formation.
5.2. The Affiliate is entitled to the Fee for each new Client redirected to The Start-Up Shop’s website via the Affiliate Link, provided that the Client meets the following criteria:
– The Client makes a service purchase within 90 days from clicking the Affiliate Link.
– The Client does not use a discount code or other promotional service fees.
– The Client is approved by The Start-Up Shop in accordance with its terms of service.
5.3. The Affiliate must repay the Fee received from The Start-Up Shop for Clients not approved for The Start-Up Shop’s services. Repayment will occur through a set-off between the Fee payable to the Affiliate and the Fee to be repaid to The Start-Up Shop.
5.4. The Start-Up Shop reserves the right to withhold payment of the Fee if the Affiliate breaches this Contract.
5.5. The Start-Up Shop may change the Fee by providing the Affiliate with 30 days’ notice via email or through the account on Systeme.io.
5.6. The Fee will be paid to the Affiliate based on approved conversions in the account and upon submission of an invoice. VAT will be paid in accordance with applicable law.
5.7. Invoices for the Fee will be issued by The Start-Up Shop on behalf of the Affiliate. For services provided by The Start-Up Shop Dublin, invoices will be issued in euros, and for services provided by The Start-Up Shop UK, invoices will be issued in pounds.
5.8. Invoices will be issued on the 5th day of each month unless the Fee is less than €100/£100. If the Fee is less than €100/£100, the invoice will be issued on the 5th day of the month when the Fee reaches or exceeds €100/£100.
5.9. The Start-Up Shop reserves the right to set off the Fee payable to the Affiliate against the Fee paid to the Affiliate for rejected Clients.
5.10. The Affiliate must review the invoice within 5 days of receiving it, and either approve it or provide feedback on Fees if necessary. If no comments are submitted regarding the invoice, the Affiliate is deemed to have approved it. Payouts will be made to the Affiliate within 10 days of invoice approval.
5.11. The Affiliate must provide either a PayPal or IBAN (International Bank Account Number) account for receiving the Fee. Other payment methods are not supported in relation to this program.
5.12. The Start-Up Shop shall not be responsible for any expenses incurred by the Affiliate while performing this Contract.
6. Duration and Termination
5.1. The Affiliate Fee (“Fee”) is calculated as follows:
– €25 per Client who purchases the combination of company formation service.
– 10% of The Start-Up Shop’s net income (service fee without VAT) for other services, excluding company formation.

6. Duration and Termination
6.1. This Contract comes into effect upon the approval of the Affiliate by The Start-Up Shop and continues until terminated as outlined in this section.
6.2. The Start-Up Shop may terminate this Contract and close the account at any time, with or without prior notice, without any liability to the Affiliate. The Fee due as of the termination date will be paid to the Affiliate as outlined in this Contract.
6.3. The Start-Up Shop may terminate this Contract and close the account without prior notice if no Clients have been redirected from the Affiliate Link within a three-month period.
6.4. The Start-Up Shop may terminate this Contract and close the account with or without prior notice and without paying the Fee due if the Affiliate breaches this Contract.
6.5. The Affiliate may terminate this Contract by providing The Start-Up Shop with 14 days’ notice via email. The Fee due as of the termination date will be paid to the Affiliate as outlined in this Contract.
7. Limitation of Liability
7.1. The Affiliate shall indemnify and hold harmless The Start-Up Shop from any claims, liabilities, and damages arising from the Affiliate’s breach of personal data protection regulations.
7.2. The Affiliate shall indemnify and hold harmless The Start-Up Shop from any claims, liabilities, and damages arising from the Affiliate’s provision of incorrect or misleading information about The Start-Up Shop’s services or fees.
7.3. The Affiliate acknowledges that the account is set up on Systeme.io, provided by a third-party service provider. The use of the account must comply fully with Systeme.io’s terms and conditions. The Affiliate shall indemnify The Start-Up Shop from any claims arising from the use of the account and shall compensate The Start-Up Shop for any damages resulting from a breach of Systeme.io Terms. The Start-Up Shop will not be liable for any loss or damage resulting from the Affiliate’s use of the account.
7.4. The tracking of Clients and calculation of the Affiliate Fee is provided by Systeme.io. The Start-Up Shop will not be liable to the Affiliate for any delay or failure in the provision of these services.
7.5. The Affiliate accepts full liability for costs, losses, or damages incurred by The Start-Up Shop as a result of the Affiliate’s breach of applicable laws or this Contract.
7.6. The Start-Up Shop shall not be liable to the Affiliate for modifying the program’s scope, changing the Fee, or cancelling the account.
7.7. Each party shall comply at its own expense with all laws and regulations related to its activities under this Contract, as they may change from time to time, and with any conditions binding on it in any applicable licenses, registrations, permits, and approvals.
Personal information should not be shared via email unless necessary. Sensitive data should not be sent via email.
8. Governing Law and Jurisdiction
8.1. This Contract and any disputes or claims arising from it shall be governed by and construed in accordance with the laws of the Republic of Ireland.
8.2. Any disputes or claims arising from this Contract shall be settled by the Courts in the Republic of Ireland.
