CRO ISSUE 10 WEEK WARNING LETTERS

In March 2020, the CRO temporarily halted company strike-offs for those with outstanding annual returns due to the pandemic. However, starting July 31, 2023, they’ve resumed strike-off procedures and are issuing 10-week warning letters via email to companies with overdue returns. Over 1,000 letters are dispatched weekly, prioritizing companies with the most arrears.

The first strike-off notices will be sent in October 2023. Companies failing to file or request a time extension from the District Court will be removed from the Register in December 2023.

It’s important to note that all communication from the CRO regarding late companies will be via email (using the last email address on the last B1 filed), not postal mail. Presenters should promptly check if their client companies are listed for strike-off and inform them. Companies must submit all overdue annual returns, audited financial statements, and clear late filing penalties to avoid prosecution or removal from the register.

Enforcement proceedings include

Court prosecution with penalties of up to €5,000 per offense for companies and directors.

Company strike-off.

Directors of struck-off companies may face disqualification proceedings by the Corporate Enforcement Authority.
